CityGate XP Terms & Conditions

These terms govern your membership in CityGate XP ("Program").. By accessing or participating in the Program, you agree to be bound by these terms, as well as the other rules, policies, and procedures of the Program.  If you do not agree to any or all of these terms, do not participate in the Program.  If you wish to no longer participate or disagree with any changes to these terms, please cancel your membership in the Program.

Program Overview: Members in the Program earn on one (1) Experience Point for every dollar ($1.00 U.S.) spent on food, beverage, retail items and gift cards purchased at participating CityGate locations.  The Member can then convert their Experience Points to Reward Dollars to be used at participating CityGate locations in accordance with the following conversion rate:

Experience Points do not automatically covert to Reward Dollars.  Any point earned over the reward amount will remain in the member’s account and continue to accumulate until the next Reward Dollar is fully earned.  Unused Experience Points will expire at the end of the calendar year following the year in which they were issued and/or converted, as applicable.  Promotional Experience Point offers, including double or bonus points, may be subject to restrictions and black-out dates.  Experience Points are not earned when a gift card is redeemed.  Gift cards may not be purchased with Reward DollarsExperience Points cannot be earned in conjunction with any discount or designated offer.  Experience Points are not earned on any tax, gratuity or service charges.  Participating CityGate locations are subject to change at any time without prior notice.  Expired Experience Points and Reward Dollars will not be extended or reinstated.

Members can build their reward status by increasing the dollar amount spent each calendar year at participating CityGate locations.  Members can attain Silver Status by spending up to $999.99 during a single calendar year.  Silver Status Members earn one (1) Experience Point for every dollar ($1.00 U.S.) spent on food, beverage, retail items and gift cards purchased at participating CityGate locations.   Silver Status Members also receive one (1) $10.00 Reward Dollars to be issued in their birthday month.  Members can attain Gold Status by spending between $1,000.00 and $2,499.99 during a single calendar year.  Gold Status Members earn one and twenty-five one hundredths (1.25) Experience Points for every dollar ($1.00 U.S.) spent on food, beverage, retail items and gift cards purchased at participating CityGate Centre locations.   Gold Status Members also receive one (1) $15.00 Reward Dollars to be issued in their birthday month.  Members can attain Platinum Status by spending more than $2,500.00 during a single calendar year.  Platinum Status Members earn one and fifty one hundredths (1.50) Experience Points for every dollar ($1.00 U.S.) spent on food, beverage, retail items and gift cards purchased at participating CityGate Centre locations.   Platinum Status Members also receive one (1) $20.00 Reward Dollars to be issued in their birthday month.  Upon achieving Gold or Platinum Status, the Member will retain such status through the end of the calendar year following the year in which such Gold or Platinum Status was achieved.  Reward Dollars issued by the Program for a Member’s birthday month, if not used, will expire upon the issuance of the Reward Dollars issued for the Member’s birthday month in the following calendar year or, if no Experience Points were accumulated by Member during the year in which the Reward Dollar was issued for the Member’s birthday, then the Reward Dollars issued for a Member’s birthday month will expire at the end of the calendar year in which the Reward Dollars for the Member’s birthday month was issued.

To earn Experience Points when hosting a private event at participating CityGate Centre locations, the Member earning Experience Points must be the person contracting for the private event.  If the event is a corporate event, at the election of the person contracting for the private event, either the planner or host is eligible to receive Experience Points for the event, provided that the planner or host is a Member of the Program prior to the date of the event.  For all other events, only the person contracting for the event is eligible to receive Experience Points for the event, provided that the person contracting for the event is a Member of the Program prior to the date of the event.   The total maximum spend eligible for Experience Points for any private event is $3,000.00. Points will be earn one (1) Experience Point for every dollar ($1.00 U.S.) spent on food, beverage, retail items and gift cards purchased at participating CityGate locations. Member tiers do not apply for private dining event

The CityGate XP Membership Card must be present at time of purchase.  Participation in the Program is limited to individuals only and not business, corporate or other entities or groups.  Experience Points and Reward Dollars are not redeemable for cash and are non-transferable.  The Program is subject to change, suspension, or discontinuation, in whole or in part, at any time.  The Program reserves the right to impose limits on membership eligibility, certain features and/or restrict access to parts or all of the Program without notice or liability.

The Program shall have no liability for Experience Points or Reward Dollars that are lost due to fraudulent or unauthorized use, whether resulting from a lost card or otherwise.  Illegal, fraudulent or other unauthorized use of membership or other activity inconsistent with these terms and conditions, will result in termination of membership and/or forfeiture of earned Experience Points or Reward Dollars.  Member accounts are subject to audit at any time.

Authorization and Permission: By enrolling in the Program, you authorize CityGate Hospitality LLC, its affiliates and partners to communicate marketing and company information to you. Communications may include, but are not limited to, marketing emails, direct mail, and special communications regarding upcoming offers and promotions at CityGate locations. Further, by participating in the Program, you agree to all terms listed in our privacy policy at www.citygatexp.com

Changes to the Terms:  CityGate Hospitality LLC reserves the right, in their sole discretion, to change, modify, cancel, add or remove any or all portions of these terms, any policy, or guideline pertaining to the Program at any time. If any terms change in the future, we will let you know by posting an update to www.citygatexp.com. Any changes or modifications will be effective immediately upon posting the revision and Members waive any right to receive special notice of such change. By continuing to use the Program, each Member agrees to the revised terms.

Membership Enrollment: The Program is open to legal residents of the United States who are at least 18 years of age at the time of registration. To enroll and receive Program benefits please stop by any participating CityGate locations or visit www.citygatexp.com.  

Membership Cancellation:  You may cancel your participation in the Program at any time.  To cancel membership please contact at info@citygatexp.com or 630-579-7838.  As soon as a membership is canceled, any Experience Points and/or Reward Dollars will expire.  The Program reserves the right to cancel any membership in the Program, at any time, without notice, in its sole discretion.

Release, Disclaimer and Limitation of Liability:  By participating in the Program, each Member releases CityGate Hospitality LLC, its owners, affiliates and subsidiaries, together with each of their respective officers, directors, employees and agents from and against any and all claims, damages, losses, liabilities, and other expenses (including, without limitation, attorneys' fees) relating to participation in the Program or agreement to these terms.

THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CITYGATE HOSPITALITY LLC DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, WITH RESPECT TO THE PROGRAM (INCLUDING THOSE RELATED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT AND THOSE ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE). TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CITYGATE HOSPITALITY LLC WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING FOR THE INDIRECT LOSS OF PROFIT, REVENUE, OR DATA) ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, HOWEVER CAUSED, AND UNDER WHATEVER CAUSE OF ACTION OR THEORY OF LIABILITY BROUGHT (INCLUDING UNDER ANY CONTRACT, NEGLIGENCE, OR OTHER TORT THEORY OF LIABILITY) EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Dispute Resolution and Governing Law:  These terms and conditions will be governed by and interpreted in accordance with the laws of the State of Illinois without regard to any conflict of laws principles.  By participating in the Program, each Member agrees that all disputes related to or arising from the Program will be resolved through binding and final arbitration instead of through court proceedings. EACH MEMBER IN THE PROGRAM HEREBY WAIVES ANY RIGHT TO A JURY TRIAL, A CLASS ACTION CLAIM, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION.

In the event of any dispute concerning the Program or these terms, the parties unconditionally and irrevocably agree that the dispute will be resolved by arbitration (and accordingly they hereby consent to personal jurisdiction over them) exclusively in Naperville, Illinois, in accordance with the rules of the American Arbitration Association. The arbitration will be heard and determined by a single arbitrator. The arbitrator's decision in any such arbitration will be final and binding upon the parties and may be enforced in any court of competent jurisdiction. The prevailing party will be entitled to recover its attorneys' fees and arbitration costs from the other party. The parties agree that the arbitration will be kept confidential and that the existence of the proceeding and any element of it (including, without limitation, any pleadings, briefs or other documents submitted or exchanged and any testimony or other oral submissions and awards) will not be disclosed beyond the arbitration proceeding, except as may lawfully be required.

General: In all matters relating to the administration of the Program, the decisions of CityGate Hospitality LLC, as the Program’s operators shall be final.  CityGate Hospitality LLC is not responsible for communication problems of any kind, including distribution of points, due to a change of email address or other changes in contact information. Under no circumstances will CityGate Hospitality LLC be held liable for any delay or failure in performance due in whole or in part to any acts of nature or other causes beyond its reasonable control. If any provision of these terms is found to be unlawful, void or unenforceable, then that provision will be deemed severable from these terms and will not affect the validity or enforceability of any remaining provisions. The failure of CityGate Hospitality LLC to enforce any right or provision of these terms will not prevent CityGate Hospitality LLC from enforcing such right or provision in the future.  CityGate Hospitality LLC may assign its rights and obligations under these terms, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law.

In the event that the Program is discontinued, any Reward Dollars earned prior to such termination shall be redeemable for a period of thirty (30) days after the effective date of the Program’s discontinuation.
